TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the BaseBuilders platform and related services (“Service”) provided by Base Builders, LLC, a Nevada limited liability company (“BaseBuilders,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to these Terms.

2. Description of Service

BaseBuilders is a billing-first project management solution for architecture and engineering firms, including functionality such as time tracking, invoicing, expense tracking, staff management, project documentation, and reporting.

The “Service” includes the BaseBuilders web application, related features, updates, and support services provided by BaseBuilders.

BaseBuilders is not:

• An accounting system
• An ERP system
• A substitute for professional accounting or financial advice

3. Eligibility and Accounts

You must be at least 18 years old and authorized to enter into a binding agreement.

Each account must have a designated account owner. The account owner is responsible for:

• All users under the account
• All activity occurring within the account
• Maintaining the confidentiality of login credentials

4. Subscriptions and Billing

4.1 Billing Model

BaseBuilders is offered on a monthly subscription basis. Legacy customers on annual plans may continue under their existing terms.

4.2 Charges and Timing

Subscriptions are billed in advance on a recurring monthly basis.

4.3 User Adjustments

• Adding users: billed immediately on a prorated basis for the remainder of the billing cycle
• Removing users: prorated credits applied to future billing cycles
  

4.4 Failed Payments

If a payment fails:

• We will retry up to three (3) times over five (5) days
• Accounts with unpaid balances may be suspended or restricted without notice until payment is received

5. Refunds and Guarantee

5.1 90-Day Guarantee

New first-time customers are eligible for a full refund within the first 90 days of subscription.

• No justification or proof is required
• Refund requests must be submitted to support@basebuilders.com

5.2 After 90 Days

All fees are non-refundable after the initial 90-day period.

6. Cancellation and Data Retention

6.1 Cancellation

Subscriptions may be canceled at any time. Cancellation takes effect at the end of the current billing period.

6.2 Data Retention

User data will be retained for at least 90 days after cancellation. After this period, BaseBuilders may delete Customer Data without further notice.

6.3 Data Export

• Accounts active for 12 months or longer are eligible for one (1) free full data export
• Additional exports may incur a service fee
• Data exports will be provided in a standard format determined by BaseBuilders

7. Customer Data and Ownership

7.1 Ownership and Usage

You retain ownership of all data you submit to the Service (“Customer Data”).

You grant BaseBuilders a limited right to:

• Store
• Process
• Transmit

Customer Data solely for the purpose of providing the Service.

7.2 Customer Name and Logo Use

You grant BaseBuilders a limited, non-exclusive, royalty-free right to use your company name, logo, and trademarks for marketing and promotional purposes, including on our website and in sales materials. You may opt out of this use at any time by contacting support@basebuilders.com. We will remove your name, logo, and trademarks from our website and cease future use within a reasonable period.

8. Integrations and Third-Party Services

BaseBuilders integrates with third-party services, including but not limited to:

• QuickBooks Online
• Xero

Future integrations may include payroll providers such as Gusto, ADP, and Paychex.

BaseBuilders may also rely on third-party service providers and infrastructure to deliver the Service.

BaseBuilders is not responsible for:

• Third-party system outages
• API changes or disruptions
• Data discrepancies caused by external systems
• Sync errors or delays between systems

Use of third-party services is at your own risk and subject to the terms of those providers.

Third-Party References and Logos

BaseBuilders may display the names, logos, or trademarks of third-party providers (including integration partners and service providers) for informational purposes. Such use does not imply endorsement, sponsorship, partnership, or formal affiliation unless explicitly stated. All third-party trademarks are the property of their respective owners.

Customer References and Logos

BaseBuilders may display the names, logos, or trademarks of its customers for identification and promotional purposes. Such use does not imply endorsement, sponsorship, or formal affiliation unless explicitly stated. All trademarks are the property of their respective owners.

9. Financial and Reporting Disclaimer

BaseBuilders provides tools for billing, reporting, and project financial visibility.

However:

• The Service does not provide accounting, tax, or financial advice
• BaseBuilders is not a system of record for accounting purposes
• The accuracy of outputs depends on user-entered data and configurations
• BaseBuilders does not guarantee the accuracy or completeness of financial reports or metrics

You are responsible for verifying all financial information before relying on it for business decisions.

10. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Attempt to gain unauthorized access
• Interfere with system performance or security
• Reverse engineer or attempt to extract source code
• Use the Service to provide services to third parties on a timesharing, service bureau, or resale basis without our written consent

11. Service Availability and Changes

BaseBuilders will use commercially reasonable efforts to maintain availability of the Service.

However, we do not guarantee:

• Uninterrupted access
• Error-free operation

The Service may be unavailable due to maintenance, updates, or factors beyond our control.

BaseBuilders may modify, update, or discontinue any part of the Service at any time, with or without notice.

12. Termination

We may suspend or terminate your access to the Service if:

• You violate these Terms
• Payments remain unpaid
• Your use presents risk to the platform or other users

13. Limitation of Liability

To the maximum extent permitted by law:

• BaseBuilders’ total liability is limited to the amount paid by you in the twelve (12) months preceding the claim
• BaseBuilders is not liable for indirect, incidental, special, or consequential damages, including:
  • Lost profits
  • Lost data
  • Business interruption

14. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

15. Indemnification

You agree to indemnify and hold harmless BaseBuilders from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your misuse of Customer Data

16. Force Majeure

BaseBuilders is not liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to internet outages, infrastructure failures, or acts of God.

17. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Washoe County, Nevada.

18. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Service after changes constitutes acceptance of the updated Terms.
